  • Indemnification protections for directors and officers

  • Provisions for creating and amending Corporate Bylaws

  • Procedures for amending the Articles of Incorporation

Instructions for Completing the Template

  • Insert the full legal name of your corporation, including "Inc.," "Incorporated," or "Corporation" if desired.

  • Fill in the principal office address (can be updated later).

  • Specify the mailing address, which can be the same as the principal office.

  • Identify the Initial Registered Agent and provide their physical Florida address (not a P.O. Box). Obtain their written consent.

  • Confirm the share structure is appropriate for your business, or adjust the authorized shares and par value if needed.

  • Complete the Incorporator’s name and signature at the bottom.

  • Once filed, hold an organizational meeting to adopt bylaws, appoint directors and officers, and issue shares.
