End-User License Agreement

$115.00

About This Document

This End User License Agreement (EULA) defines the legal terms under which an End User may install, access, and use a Software Product.
It protects the software provider’s intellectual property, limits liability, and sets user expectations for lawful and appropriate software use.

Who Should Use This Template

  • Software companies distributing desktop, mobile, or web-based applications

  • SaaS providers offering licensed access to hosted software (alongside Terms of Service)

  • Tech startups launching proprietary apps or downloadable tools

  • Businesses protecting intellectual property rights and minimizing legal risk from misuse

What the Template Includes

  • Grant of a limited, non-exclusive, non-transferable license to the End User

  • Usage restrictions: no sublicensing, reverse engineering, or unauthorized distribution

  • Ownership and protection of intellectual property rights in the software

  • Terms for termination of license upon breach of agreement

  • Warranty disclaimers, including "as is" use without performance guarantees

  • Limitations of liability for damages (direct, indirect, incidental, consequential)

  • End User indemnification obligations protecting the Licensor

  • Governing law and jurisdiction clauses for dispute resolution

  • Detailed dispute resolution process: negotiation → mediation → arbitration

  • Severability clause ensuring remainder of EULA survives if part is invalid

  • Entire agreement clause confirming the EULA supersedes prior understandings

  • Editable Word format for full customization

Instructions for Completing the Template

  • Insert the Licensor’s legal name and the Software Product name where indicated.

  • Define the Jurisdiction governing the EULA (e.g., Delaware, California, New York).

  • Customize restrictions if certain open-source components or third-party libraries require different treatment.

  • If applicable, adjust warranty disclaimers and support service commitments to match what is realistically provided.

  • Finalize contact details for End Users needing assistance with license or legal questions.

  • Include a click-wrap acceptance mechanism if this agreement will be used online (required for enforceability in many jurisdictions).

Important Reminder

This document is provided as a template to assist with standard software licensing arrangements.
It does not constitute legal advice. You should consult a qualified attorney to tailor this EULA to your specific software product, jurisdictional obligations, licensing strategy, and potential export control compliance if distributing internationally.
